Welcome to RxEcho ("RxEcho," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of the RxEcho website, platform, software, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
By using RxEcho, you represent and warrant that:
• You are at least 18 years of age.
• You have the authority to enter into these Terms on behalf of yourself or an organization.
• If using the Services on behalf of a healthcare entity or provider group, you have the appropriate permissions to do so.
2. Description of Services
RxEcho is a software platform designed to assist pain management and healthcare providers in:
• Identifying unfilled or delayed prescriptions.
• Communicating with patients via automated or semi-automated channels.
• Routing issues for resolution, including possible re-sending of prescriptions via eFax or EHR-integrated mechanisms.
RxEcho does not prescribe medication, practice medicine, or replace clinical judgment. All final prescribing decisions rest solely with licensed healthcare providers.
3. Account Registration
To access certain features, users must create an account. You agree to:
• Provide accurate and current information.
• Maintain the security of your login credentials.
• Notify us immediately of any unauthorized use of your account.
You are responsible for all activities occurring under your account, whether authorized or unauthorized.
4. Acceptable Use
You agree not to:
• Use the Services in violation of any applicable law or regulation, including HIPAA.
• Attempt to access or modify systems or data not intended for you.
• Interfere with the operation, security, or integrity of the platform.
• Use the Services to send spam, abusive messages, or unauthorized marketing content.
• Upload or transmit malware, viruses, or malicious code.
We reserve the right to suspend or terminate accounts engaged in misuse.
5. Protected Health Information (PHI)
If you use the Services to handle PHI:
• Your use of RxEcho may be subject to a Business Associate Agreement (BAA).
• You are responsible for ensuring your use complies with HIPAA and other applicable privacy laws.
• RxEcho implements administrative, technical, and physical safeguards appropriate for a HIPAA-aligned technology platform, but you remain responsible for how you input, share, or export PHI.
6. Patient Communications
You acknowledge that:
• RxEcho may facilitate automated SMS, email, or fax interactions with patients or pharmacies.
• You are responsible for ensuring your patients have consented to receive messages.
• You retain full responsibility for the clinical decision to resend, modify, or cancel prescriptions.
• RxEcho is a support tool—not a substitute for clinical review.
7. Third-Party Integrations
The Services may integrate with:
• Electronic Health Record (EHR) systems
• Fax providers
• Messaging vendors
• Credentialing and directory services such as Surescripts
RxEcho is not responsible for outages, delays, errors, or data inaccuracies arising from third-party systems.
8. Fees & Payment
If you purchase a paid subscription:
• You agree to pay all applicable fees.
• Fees are non-refundable unless explicitly stated otherwise.
• We may modify pricing with advance notice.
• Subscription renewals occur automatically unless canceled before the renewal date.
9. Intellectual Property
All content, software, trademarks, and materials within the Services are owned by RxEcho or our licensors. You may not:
• Copy, modify, or distribute platform components.
• Reverse engineer or decompile the software.
• Use our branding without written permission.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including:
• Reliability
• Accuracy
• Merchantability
• Fitness for a particular purpose
We do not guarantee uninterrupted or error-free service.
11. Limitation of Liability
To the fullest extent permitted by law:
• RxEcho is not liable for indirect, incidental, special, consequential, or punitive damages.
• RxEcho total liability for any claim shall not exceed the amount paid by you to RxEcho in the preceding 12 months.
• You assume all risk associated with your use of the Services.
12. Indemnification
You agree to indemnify and hold harmless RxEcho, its officers, employees, and affiliates from any claims, damages, or losses arising out of:
• Your use of the Services
• Your violation of these Terms
• Your misuse of PHI
• Any prescribing or clinical actions taken by you or your organization
13. Termination
We may suspend or terminate access to the Services at our discretion if:
• You violate these Terms.
• Your use poses a security risk.
• Your account is used for unlawful activity.
You may stop using the Services at any time. Termination does not relieve you of payment obligations already accrued.
14. Changes to Terms
We may update these Terms from time to time. Continued use after modifications constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
